BYLAWS

ARTICLE I
NAME
The name of this organization shall be: Bellevue Rock Club, Inc.
ARTICLE II
MEMBERSHIP
Section 1. TYPES OF MEMBERSHIP
Adult Member – Any person of good character interested in advancing the objects and purposes
of this club who has paid his dues and has been elected to membership to the club.
Junior Member – Any person of good character interested in advancing the objects and purposes
of this club who is eighteen of age or less, has paid his dues, and been elected to membership in the club.
Junior members are entitled to all the rights and privileges of a member except the right to vote or to hold office.
Life Members – Any adult or junior member in good standing of this club who has given exceptional or
meritorious service to the club and has been elected a life member. A life member is entitled to all the rights
and privileges of his class of membership.
Section 2. ELECTION OF MEMBERSHIP
Adult and Junior Members – Application blanks, furnished by the club, must be filled out by any person wishing
to become a member or junior member of this organization, be signed by an adult member, and returned to the club secretary together with remittance of the current dues. The Board of Trustees shall vote by written ballot on any application for membership within two months of its delivery to the secretary. With a majority vote of all members
of the Board, the applicant shall be declared a member and shall be eligible to receive a membership card in the club.
Life Members – A life membership shall be recommended to the Board of Trustees by a signed petition from fifteen members in good standing. Upon approval by a majority vote of the Board, the petition shall be presented to the
club at a regular meeting and a life membership may be granted by a majority of all votes cast.
ARTICLE III
OFFICERS
Section 1. LIST OF OFFICERS
The officers of this organization shall be a President, Vice President, Recording Secretary, Corresponding Secretary and Treasurer.
Section 2. Duties
President – The duties of the President shall be to administer the work of the club in an efficient manner, to preside
over all meeting, to act as Chairman of the Board of trustees, and to serve as ex-officio member of all committees,
except the nominating committee and such other committees as may be specifically assigned to another officer. He shall appoint all standing committees, except the nominating committee, and such other committees as required.
He shall sign all approved contracts or other instruments affecting the property or work of the club; and shall
perform such other duties as pertain to the office.
Vice President – The Vice president shall perform all duties of the President in the absence or disability of the
President; and, in case of the resignation or permanent disability of the President, shall fill his unexpired term.
He shall also be responsible for the program part of all regular meetings and shall be an ex-officio member
of any committee set up to handle programs.
Recording Secretary – the Recording Secretary shall keep an accurate record of all regular, special and
Board meetings, keep an accurate list of all members names, sign all approved minutes and contrasts with
the President, and perform such other duties as rightly pertain to this office.
Corresponding Secretary – The duties of the Corresponding Secretary shall be to take charge of the club’s correspondence and perform such other duties as pertain to the office.
Treasurer – The Treasurer shall receive and give a receipt for all monies paid into the club, keep a detailed account
of all receipts and expenditure, pay all bills which have been approved, deposit all monies in accredited banks
approved by the Board of Trustees, and present to the membership at the end of each calendar year a written
financial statement. He shall bean ex-official member of any financial committees which may be appointed.
He may advance funds up to $15.00 during each budget year, for petty expenditures, to each officer or committee chairman allotted funds under the current approved budget provided the sum advanced is within the authorized
allotment to that particular officer or committee. He shall prepare and submit such income tax and other
tax statements as required by law and perform such other duties as may pertain to that office.
Section 3. INSTALLATION
Newly elected officers shall be installed at regular December meeting and shall assume the duties of their office on the first day of January.
Section 4. REMOVAL
Any officer not fulfilling his duties or acting in a manner detrimental to the club may be removed from office for just cause, after a fair hearing, by a majority of the votes cast at any regular meeting of the membership.
ARTICALE IV
BOARD OF TRUSTEES
Section 1. MEMBERSHIP
The Board of Trustees shall consist of the elected officers of this club, in no event to be less then five members.
Section 2. DUTIES
The Board of Trustees shall receive the treasurer’s report, approve bills within the framework of the approved budge; and conduct the business of the club subject to the ratification of the membership. The Board has the duty and power to act for the organization between meetings of the membership. The Board may, by a majority vote, select any member in good standing to fill any vacancy in their body for the remainder of the unexpired term.
Section 3. MEETINGS
The Board of Trustees shall meet at least every three months on the call of the President. A special meeting of the Board may be called by the President in emergencies where the organization’s point of view must be promptly expressed; and a special meeting must be called upon the petition of fifteen club members in good standing. A club member may attend any regular meeting of the Board of Trustees.
Section 4. CHAIRMAN
The President of the club shall be Chairman of the board of Trust.
Section 5. REPORTS
The Secretary shall prepare a resume of the business transacted at all Board meetings and present it to the next regular meeting of the club.
ARTICLE V
MEETINGS
Section 1. REGULAR MEETINGS
Regular meetings of the organization shall be held once a month at a place and time fixed by the Board of Trustees.
Section 2. SPECIAL MEETING
A special meeting may be called by the president when it is considered necessary or must be called at the request of fifteen members. Written notification of the meeting and the reason for calling it must be mailed to all members at least one week prior to the date of the meeting.
ARTICLE VI
COMMITTEES
STANDING AND TEMPORARY COMMITTEES
The President shall have the power to appoint all standing committees as set forth in the policies of this organization, except the nominating committee, and such temporary committees as may be deemed necessary to carry out the work of the club.
ARTICLE VII
FINANCES
Section 1. BUDGET PREPARATION AND ADOPTION
A proposed budget covering all anticipated income and expenses for the year starting April 1st shall be prepared by the Board of Trustees and presented to the membership at the regular March meeting. Upon adoption, by a majority vote of all members present and voting, the budget will then serve as authorization for the expenditure of club funds during the budget year by the various officers and committee chairmen up to the amount budgeted to each of them. Additional funds over the budgeted amounts may only be secured by submitting a request for an increase to the Board which will submit its recommendation to the members at the next regular meeting for approval or rejection.
Section 2. DUES
Adult Members and Junior Members –Dues for adult and junior members for the ensuing calendar year shall be set by the Board of Trustees and presented for ratification of the membership. Dues shall be payable to the Treasurer each January 1st. Any member whose dues are not paid at the time of the regular March meeting shall be dropped from the rolls. Dues for new members joining after the regular October meeting shall be considered as payment in full for the entire following calendar year.
Life Members – Life members are not subject to payment of club dues.
ARTICLE VIII
TERMS OF OFFICE
Section 1. OFFICERS
All elected officers of this organization shall hold office for a period of one year or until a successor to their office is necessary. Vacancies in any office other then President shall be filled for the remainder of the unexpired term by appointment of a qualified candidate by the Board of Trustees.
Section 2. BOARD OF TRUSTEES
The Board shall assume its regular duties on the 1st of January for the following year, but may meet as soon as elected for organizational purposes.
ARTICLE IX
ELECTIONS
Section 1. NOMINATION
The Board of Trustees shall appoint a Nominating Committee of three members in good standing, not more then one of whom shall be from their own body. The committee shall select one candidate to fill each office for the following calendar year, and submit its report to the club at the regular meeting in October, at which time independent nominations may be made from the floor. It is understood that any candidate presented by the Nominating Committee or independently nominated from the floor shall be an active member in good standing who has signified his or her willingness to accept the nomination, and, if elected to perform the duties prescribed.
Section 2. ELECTION
The election of officers shall be held at the regular November meeting. The candidate receiving a majority of votes cast for each office is elected. Voting shall be by secret ballot unless there is only one candidate for an office in which case the Secretary may be instructed to cast an elective ballot for that office.
ARTICLE X
QUORUM
Section 1. MEETINGS OF ORGANIZATION
Twenty-five percent of the members in good standing shall constitute a quorum for conducting business.
Section 2. BOARD OF TRUSTEES
A majority of the members of the Board shall constitute a quorum to conduct the business of the Board.
ARTICLE XI
DISCIPLINE OR EXPULSION OF MEMBERS
Section 1. GROUNDS FOR ACTION
Any member may be disciplined or expelled from membership in this organization for cause or for actions detrimental to the best interest of the club or its purposes.
Section 2. PROCEDURE
The procedure outlined in the current edition of Sturgis Standard Code of Parliamentary Procedure shall be followed in any proceeding to discipline or expel a member of this club.
Section 3. REINSTATEMENT
Any person who has been expelled from membership may apply for membership in the usual manner after a period of two years from the date of expulsion.
ARTICLE XII
PARLIAMENTARY AUTHORITY
The current edition of Sturgis Standard Code of Parliamentary Procedure governs this organization in all parliamentary situations that are not provided for in the law or in its charter, bylaws or adopted rules.
ARTICLE XIII
POLICIES
This organization shall adopt a set of policies supplementing its Articles and Bylaws. A majority vote of members present and voting will be required to adopt them. The adopted policies may be revised or amended at any regular meeting by a majority of the votes cast.
ARTICLE XIV
AMENDMENTS TO BYLAWS
These Bylaws may be amended at any regular meeting by a majority of the vote cast, provided that the proposed amendment has been presented in writing to all members at least one month prior to the meeting and that all members have been notified in writing that the amendment will be voted on at the meeting.
ARTICLE XV
CANCELLATION CLAUSE
Adoption of these Revised Bylaws automatically cancels all previous Bylaws and amendments thereto of this organization.

POLICIES
- This organization believes that current services to members is its most important function; therefore, our policy that dues and other club income should be used to provide a constantly improving and expanding current program of services to our members rather then be accumulated for future use.
- That the past Treasurer assist the current Treasurer with the preparation of any required income tax reports.
- That an adequate policy of liability insurance for all meetings, field trips and show be carried for the protection
of the club and its members.
- That some token of appreciation be given to the President and Show Committee Chairman upon completion
of their duties.
- That one of the summer meetings be a picnic.
- That flowers be sent or a suitable charitable contribution be made by the club in the case of illness or death of a
member and that sympathy cards be sent when other close relatives are involved.
- That refreshments for regular meetings be furnished by the club, supplemented by donations of baked goods
from the members.
- That persons other then club members presenting programs at meetings be given some suitable token of appreciation.
- That the club publish a monthly newsletter containing material for the good and pleasure of the members and
carrying notices of meeting.
- That a historian keep an accurate record of all past and present club history.
- That a custodian keep an accurate list of all the club’s properties and their location.
- That a show be held late in the year.
